Enterprise / Business Agreement

This Enterprise / Business Agreement is the framework Tarseek uses when organization Customers negotiate an order form. Self-service use remains governed by the Terms of Service unless an order form says otherwise.

1. Organizations and authorized users

The Organization owns the enterprise account. Administrators may add and remove Authorized Users and manage keys, billing, and privacy settings that apply across the Organization.

2. Order forms and precedence

Commercial terms (fees, volume, term) appear on an order form. If an executed enterprise agreement conflicts with the self-service Terms, the enterprise agreement and order form control for that Customer.

3. Negotiated pricing and invoicing

Enterprise Customers may be invoiced rather than using prepaid Credits, as specified on the order form. Payment terms appear on that form.

4. Confidentiality

Each party protects the other’s non-public information. Customer Content is Customer’s confidential information, subject to processing needed to provide the Service and to provider transmission.

5. Enterprise data ownership

As between the parties, the Organization retains rights in its Inputs. Output ownership follows the Terms and applicable provider licenses. Tarseek retains its platform IP.

6. DPA, security, support, SLA

Enterprise deals may incorporate the DPA, security exhibits, support tiers, and an SLA only if attached.

7. Liability and indemnification

Liability caps, mutual IP indemnity, and exclusions for AI Output reliance, if any, are stated on the order form or negotiated exhibit. They do not apply to self-service accounts unless executed.

8. Renewal and termination

Initial term, renewal, termination, and data-return mechanics are stated on the order form.
