1. Introduction

These Terms of Service (the “Terms”) govern access to and use of Tarseek, including the website, hosted Chat, APIs, documentation, accounts, credits, and related services (the “Service”).

The Service is operated by Tarseek, Inc. (“Tarseek”, “we”, “us”). By accessing or using the Service, you agree to these Terms and to the other policies that apply, including the Privacy Policy, Acceptable Use Policy, Credits, Billing & Refund Terms, and, if you use the API, the API & Developer Terms.

2. Eligibility

• You must be at least 18 years of age.
• You must have the legal capacity to enter a binding contract.
• If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
• The Service may not be available in every jurisdiction. Tarseek may restrict access where legally required or operationally necessary.

3. Definitions

Tarseek

The Service and, as context requires, the legal entity that operates it.

Service

Websites, APIs, hosted Chat, dashboards, documentation, and related Tarseek offerings.

User

An individual who accesses the Service.

Customer

A User or Organization that holds a Tarseek account and is responsible for usage and fees.

Organization

A company or other entity that uses the Service through an organization account.

Authorized User

A person permitted by a Customer to use the Service under that Customer’s account.

API

Tarseek’s application programming interfaces and related developer tools.

API Key

Credentials issued to authenticate API requests.

Model

An AI model available through the Service, typically identified by a public model ID.

Model Provider

A third party that develops, hosts, or otherwise supplies a Model or inference endpoint.

Deployment

A specific offering of a Model on a provider or infrastructure, which may have its own pricing, region, and capabilities.

Input

Content you submit to the Service, including text, code, documents, files, images, audio, video, and parameters.

Output

Content returned by a Model or the Service in response to an Input.

User Content

Inputs, Outputs stored in hosted features, files, Chat content, Memory, and similar customer-supplied or customer-generated material.

Chat

Tarseek’s hosted conversation interface, if used.

Conversation

A stored Chat thread and its messages, titles, attachments, and metadata.

Memory

Optional persistent information retained across Conversations, if offered.

File

An uploaded or attached object processed or stored in connection with the Service.

Credits

Prepaid closed-loop service credits usable only for the Service.

Purchased Credits

Credits acquired for value through Tarseek’s checkout or invoicing.

Promotional Credits

Credits granted without a corresponding usage purchase, such as beta, referral, or campaign credits.

Platform Fee

The Tarseek service fee charged in connection with purchasing Credits, displayed at checkout or on the applicable pricing page.

Usage

Metered consumption of Models or other billable Service features.

Third-Party Service

A Model Provider, payment processor, cloud host, or other non-Tarseek service used in providing Tarseek.

4. Account registration

You must provide accurate account information and keep it current. You are responsible for activity under your account, including activity by Authorized Users.

You must protect credentials and promptly notify Tarseek of unauthorized access. Tarseek may reject, restrict, merge, or suspend accounts that are duplicate, fraudulent, automated, or created to evade limits, sanctions, or prior enforcement.

Organization accounts, if offered, are owned by the Organization. Personal accounts are owned by the registering individual unless validly transferred under a process Tarseek provides.

5. API keys

API Keys are confidential. You must not share them publicly or embed them in client-side code that exposes them to third parties. You are responsible for Usage and charges incurred with your Keys, except to the extent caused by Tarseek’s breach of these Terms.

Tarseek may revoke, rotate, suspend, restrict, rate-limit, or disable API Keys when reasonably necessary, including for security, abuse, fraud, provider requirements, legal requirements, compromised credentials, unusual traffic, or payment problems.

6. Tarseek’s role

Tarseek provides a gateway and related tools for accessing AI services from third-party Model Providers. Tarseek does not necessarily own any Model, operate provider infrastructure, control Model behavior, control provider uptime, control provider retention or training practices, or control provider safety systems. Outputs are produced by Models that Tarseek does not fully control.

7. Third-party provider terms

Use of a particular Model or Deployment may also subject you to the provider’s terms, acceptable-use policy, privacy policy, model license, geographic restrictions, age restrictions, and other limitations. Tarseek may enforce provider-specific rules, including by refusing, routing away from, or disabling a Model or Deployment.

8. Routing

Unless you validly lock routing to a specific provider or Deployment using a control Tarseek actually offers, Tarseek may:

• route requests across Deployments;
• select providers based on availability, price, capability, or other project settings;
• retry or fail over when a provider is unavailable or unsuitable;
• exclude unavailable, non-compliant, or restricted Deployments.

9. Model availability

Tarseek does not guarantee permanent access to any Model, provider, or Deployment. Tarseek may add, remove, rename, or deprecate Models; replace Deployments; change providers; temporarily disable Models; restrict Models by geography; and change routing behavior.

10. Availability of Tarseek

Unless a separate written Service Level Agreement applies, Tarseek does not guarantee uptime, uninterrupted access, response time, streaming continuity, or provider availability. Maintenance, outages, and third-party failures may occur. Ordinary self-service use does not include a contractual uptime SLA.

11. AI output disclaimer

AI Outputs can be incorrect, incomplete, misleading, fabricated, outdated, offensive, harmful, biased, or otherwise unsuitable. You must independently verify information that matters. Outputs may not be unique; other users may receive identical or similar Outputs. Tarseek does not guarantee that any Output is factual, non-infringing, or fit for a particular purpose.

12. High-risk and professional uses

The Service is not designed as a substitute for professional advice or as a control system for safety-critical operations. You must not rely on Outputs as the sole basis for medical, legal, financial, employment, credit, insurance, or other high-impact decisions, or for safety-critical systems or critical infrastructure, except where a provider expressly permits the use and you implement appropriate human review, testing, and legal compliance.

Provider-specific restrictions may be stricter than this baseline. You are responsible for complying with them.

13. User content

You represent that you have all rights and lawful bases needed to submit User Content, which may include text, code, images, files, audio, video, and personal information. You are responsible for Inputs and for how you use Outputs. You must not submit content that violates the Acceptable Use Policy or applicable law.

14. License to Tarseek

You grant Tarseek a worldwide, non-exclusive, royalty-free license to host, receive, transmit, process, temporarily cache, route, store as needed to operate hosted features, secure, detect abuse, troubleshoot, and return User Content, solely to provide and protect the Service and to comply with law.

This license is not a grant of a perpetual right for Tarseek to train its own foundation models on your API content. Tarseek’s business model is a gateway. Tarseek does not use API prompt or output content to train Tarseek models unless you later opt in to a clearly disclosed program. Hosted Chat storage, when you use Chat, is a separate product feature.

15. Output ownership

As between Tarseek and you, Tarseek does not claim ownership of your Inputs and does not unnecessarily claim ownership of Model Outputs. However:

• rights in Outputs may depend on the underlying Model Provider and model license;
• copyright law varies by jurisdiction;
• AI-generated Output may not always qualify for copyright protection;
• similar Output may be generated for other users;
• you remain responsible for ensuring your use of Outputs is lawful.

16. Feedback

If you voluntarily provide ideas, suggestions, or other feedback about Tarseek, Tarseek may use that feedback without restriction or obligation to you, and without granting you rights in Tarseek’s products.

17. Tarseek intellectual property

Tarseek and its licensors retain all rights in the Tarseek name, branding, software, website, documentation, interfaces, databases, and proprietary systems. These Terms do not transfer Tarseek intellectual property except for the limited right to use the Service as permitted.

Third-party Model names, logos, and trademarks belong to their owners. Listing a provider does not imply partnership, endorsement, or sponsorship. See the Copyright & Intellectual Property Policy.

18. Suspension

Tarseek may suspend accounts, API Keys, Models, or features for abuse, fraud, chargebacks, security risk, provider requirements, sanctions, legal demands, compromised API Keys, prohibited use, excessive harmful traffic, or nonpayment.

19. Termination

You may stop using the Service and request account deletion by contacting Tarseek. Tarseek may terminate these Terms or your access where permitted by these Terms or law.

Upon termination, your right to use the Service ends. Remaining Purchased Credits are handled under the Credits, Billing & Refund Terms. Sections that by nature should survive—including IP, disclaimers, limitation of liability, indemnity, governing law, and outstanding payment obligations—survive termination.

20. Warranty disclaimer

To the maximum extent permitted by law, the Service and all Outputs are provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted operation. Tarseek does not warrant Model Provider performance.

Nothing in these Terms limits non-excludable consumer rights under applicable law.

21. Limitation of liability

To the maximum extent permitted by law, Tarseek and its affiliates, officers, and suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages; lost profits; lost data; business interruption; reliance on AI Output; third-party Model failure; or provider downtime, even if advised of the possibility. Direct liability that cannot be excluded is limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes liability that cannot legally be excluded, including liability for death or personal injury caused by negligence where that limitation is prohibited.

22. Indemnity

You will defend and indemnify Tarseek against claims arising from your unlawful activity, infringement caused by your User Content or applications, unauthorized data, provider-policy violations, misuse, downstream applications, or API-key compromise caused by you, except to the extent caused by Tarseek’s willful misconduct. This indemnity applies to the extent permitted by the law that governs these Terms.

23. Force majeure

Tarseek is not liable for delay or failure caused by events beyond reasonable control, including third-party Model Provider outages, cloud or infrastructure failures, utility failures, labor disputes, war, terrorism, epidemics, government action, or denial-of-service attacks.

24. Changes

Tarseek may modify the Service and these Terms. Material changes will be notified by reasonable means (for example email or in-product notice). Continued use after the effective date of an updated version constitutes acceptance where permitted by law. Prior versions will be archived.

25. Governing law

• Legal entity: Tarseek, Inc.
• Notices: hello@tarseek.com
• Governing law: Applicable law, including any mandatory consumer protections
• Forum: A court of competent jurisdiction, unless a written enterprise agreement specifies otherwise

Mandatory consumer venue and rights rules remain unaffected where they apply.

26. Miscellaneous

These Terms, together with the policies they incorporate, are the entire agreement for the Service except an executed Enterprise / Business Agreement or order form, which controls if it conflicts. If a provision is unenforceable, the remainder stays in effect. Tarseek may assign these Terms in connection with a corporate transaction. You may not assign without Tarseek’s consent, except to a successor that assumes your obligations. Failure to enforce a provision is not a waiver.
